Job Description:

Provide assistance drafting and maintaining AmeriBen’s contracts with clients and vendors. Conduct research and analysis on numerous areas of law affecting AmeriBen, including federal law such as ERISA, PPACA, COBRA, FMLA and GINA, as well as the department of insurance regulations for the various states where AmeriBen does business. Assist in monitoring AmeriBen’s compliance with HIPAA, & applicable regulations.

Key Result Areas


  • Maintain all AmeriBen contracts, including vendor contracts, administrative services agreements, business associate agreements, sub-business associate agreements, confidentiality / NDA agreements, transactional contracts (e.g. leases, purchase agreements).

  • Working knowledge of ERISA, PPACA, HIPAA, COBRA, FMLA, and GINA as well as state insurance laws and regulations, with an emphasis on Idaho, Arizona and Colorado.

  • Assist Corporate Counsel in diverse projects, both legal and non-legal, to include legal research.

  • Review material for legal compliance.

  • Work to eliminate and/or mitigate the risks of PHI security incidents, disclosures and breaches throughout the organization.

  • Create, implement and maintain HIPAA policies and procedures.

  • Maintain an active expertise in HIPAA and related regulations and laws.

  • Assist others in identifying when a security incident, disclosure or HIPAA breach has occurred through the statutory investigational process. Follow through with proper documentation and notification to the affected parties.

  • Guide, train and assist all members of the AmeriBen organization on HIPAA matters.

  • Review, draft and negotiate BAAs and/or sub-BAAs as necessary, with clients, vendors and other third-parties.

  • Work with Human Resources to enforce HIPAA employee sanctions policy.

  • Work with Corporate Counsel to respond to requests from regulatory entities as it relates to HIPAA Privacy.

  • Maintain an organized filing system of current BAAs and sub-BAAs.

Experience and Skills:

Minimum Qualifications

  • Paralegal certification and bachelor’s degree or bachelor’s degree with 3-5 years of industry experience preferred with a focus on healthcare-related legal work.
  • Ability to maintain excellent working relationships with all departments.
  • Strong contract review and analytical skills.
  • Strong legal research and analysis skills.
  • Ability to maintain confidentiality.
  • Ability to work efficiently in a fast paced environment, prioritize tasks, and meet tight deadlines.
